1. Acceptance of Terms

By accessing and using the services of Xcube IT Solutions ("Company", "we", "us", "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use our services.

2. Services

Xcube IT Solutions provides web design, web development, custom software development, UI/UX design, e-commerce solutions, and related digital services (collectively, the "Services").

2.1 Service Delivery

We commit to delivering services as specified in individual project agreements. Timeline estimates are based on project requirements and client cooperation.

2.2 Revisions

Each project includes a specified number of revision rounds. Additional revisions may incur extra charges as outlined in the project agreement.

3. Payment Terms

3.1 Payment Schedule

50% deposit upon project initiation
25% upon design approval
25% upon project completion before delivery

3.2 Late Payments

Payments overdue by more than 15 days will incur a late fee of 2% per month. We reserve the right to pause work on projects with overdue payments.

3.3 Refunds

Deposits are non-refundable once work has commenced. Refund requests for completed work are evaluated on a case-by-case basis.

4. Intellectual Property

4.1 Client Materials

You retain ownership of all materials you provide to us (logos, content, images, etc.). You grant us a license to use these materials solely for the purpose of completing your project.

4.2 Deliverables

Upon full payment, you own the final delivered website/code. We retain the right to display the work in our portfolio and marketing materials unless otherwise agreed in writing.

4.3 Third-Party Components

Third-party components (themes, plugins, libraries) are subject to their respective licenses and may require separate purchases.

5. Client Responsibilities

Provide complete, accurate information and materials in a timely manner
Appoint a single point of contact for project communication
Review deliverables within agreed timeframes
Provide feedback in a consolidated manner
Secure necessary licenses for third-party materials

6. Confidentiality

We agree not to disclose your confidential information to third parties, except as required by law or with your consent. This includes business plans, proprietary information, and unpublished materials.

7. Warranties and Liabilities

7.1 Service Warranty

We warrant that our services will be performed with reasonable skill and care. We fix any errors arising from our work for 30 days after project completion at no additional cost.

7.2 Limitation of Liability

Our total liability for any claim shall not exceed the total amount paid by you for the specific project. We are not liable for indirect, incidental, or consequential damages.

7.3 Third-Party Services

We are not responsible for the performance or reliability of third-party services (hosting, domains, APIs, etc.) that we may recommend or integrate.

8. Maintenance and Support

Post-launch support is available through separate maintenance agreements. Basic troubleshooting for 30 days after launch is included with all projects. Ongoing updates, security patches, and technical support require a maintenance contract.

9. Termination

Either party may terminate a project with written notice. Upon termination, you will pay for work completed up to that point. We will deliver all completed work and materials.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.

11. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the new terms.
